Charltons was founded in October 1998 as a focused corporate finance firm. The focal point of the firm is to provide a first class legal service on Asia Pacific (and in particular Hong Kong and China) related corporate finance matters, to both international and local clients from Hong Kong and mainland China. Our aim is to give practical, creative and commercial solutions that match the business objectives and priorities of our clients. The firm was awarded the “Boutique Firm of the Year” by Asian Legal Business for the years 2002, 2003, 2006, 2007, 2008, 2009, 2010, 2011, 2012 and 2013. We have considerable experience in offering advice to multinational and local companies operating in Hong Kong and China. We have represented US, European, Japanese and Hong Kong companies and investment banks in corporate finance transactions including IPOs and other equity and debt fund-raisings and public and private M&A.

Our regulatory work involves frequent communications with the Hong Kong Stock Exchange and Securities and Futures Commission regarding regulatory and corporate finance issues relevant to our clients’ projects.

We have extensive and diverse experience in all aspects of direct investments in the PRC, whether by way of joint venture, wholly foreign owned enterprises or other direct investment methods.

The firm’s investment funds work consists of advising on the launch of traditional Asia Pacific equity funds and the less traditional/more specialised funds, including hedge funds, which are listed on international exchanges. We are familiar with the regulatory requirements for marketing funds throughout Europe and Asia.

We have the capability to assist technology companies in business expansion, including the setting up of joint ventures, new rounds of financing, licensing of intellectual property rights, and marketing issues.

JULIA CHARLTON
PRINCIPAL PARTNER


Julia was admitted as a solicitor in England & Wales in 1985 and has practised as a solicitor in Hong Kong since 1987 and is an experienced practitioner in the field of corporate finance. Julia has extensive experience of China work and is a Mandarin speaker. Julia has advised issuers, sponsors, major shareholders and underwriters on the listings of several companies in Hong Kong. She also has experience in foreign investment in the PRC, including the establishment of joint ventures and wholly owned foreign enterprises, and is familiar with the business and legal issues arising in that country for would-be investors. Julia advises regulators, financial institutions and listed companies on the listing rules of both the Main Board of the Hong Kong Stock Exchange and the Growth Enterprise Market. She is experienced in the fields of securities law, capital markets, M&A, investment funds, restructuring and regulatory issues.

Julia was awarded the American Chamber of Commerce of Hong Kong / South China Morning Post Women of Influence: Professional of the Year in 2008 and has been named a ‘Leading Lawyer’ by Asia Law & Practice.

Julia is a member of the Takeovers Panel and the Takeovers Appeal Panel of the SFC and a member of the Listing Committee of the Hong Kong Stock Exchange. She is also a member of the Company Law Committee of the Hong Kong Law Society.
